Terms of Service

General Terms

These General Terms of Service govern the use of products and services by Aubex Consulting LLC (“AiLuma,” “we,” “us,” or “our”) to the client. Additional terms may apply for specific services (for example, the Enterprise Subscription Agreement). If these additional terms are inconsistent with these General Terms, the additional terms will prevail.

Please read these terms carefully before using AiLuma’s services. By using our services, you mark your acceptance of these terms.

Acceptance of Terms

The client explicitly waives its own standard terms and conditions, even if these were drawn up after these standard terms and conditions. Any derogation must be expressly agreed to in advance in writing to be valid.

Service Description

AiLuma provides AI-powered automation services for Odoo, including but not limited to:

  • Content generation and field updates
  • Workflow automation
  • Data processing and analysis
  • Custom AI agent development

Our Services are provided through a cloud-based platform that integrates with your Odoo instance, or through self-hosted deployment for Enterprise clients.

Payment Terms

Standard Payment Terms

  • Invoices are payable within 30 days of the invoice date
  • In case of non-payment by the due date, we reserve the right to:
    • Charge a fixed interest payment of 15% on the outstanding amount
    • Suspend services without prior warning
    • Engage a debt recovery service for payments over 60 days late

Subscription Types

  • Annual subscriptions are available for both cloud and self-hosted deployments
  • Payment methods include credit card, wire transfer, and other supported payment methods
  • We reserve the right to adjust pricing with reasonable notice

International Payments

  • Any withholding tax will be paid by the client to their local tax authorities
  • The invoice amount is due to AiLuma in its entirety
  • For clients with global presence, pricing is based on the highest applicable regional price list

Service Level Agreement

While we strive to provide the highest level of service:

  • We commit to our best efforts but cannot guarantee specific results
  • Support response times vary by subscription level:
    • Standard Plan: 48-hour response time
    • Enterprise Plan: 4-hour response time
  • Scheduled maintenance will be communicated in advance
  • Service availability targets are specified in your subscription agreement

Data Processing

Data Ownership

  • You retain ownership of your data
  • We act as a data processor under applicable privacy laws
  • You are responsible for:
    • The legality of data processing
    • Obtaining necessary consents
    • Compliance with local privacy laws

Security Measures

  • Data encryption in transit and at rest
  • Regular security audits
  • Access controls and authentication
  • Incident response procedures

Intellectual Property

  • AiLuma retains all rights to our technology and platform
  • Content generated through our services is owned by you
  • Our trademarks and brand features require explicit permission for use
  • You grant us limited rights to process your data for service provision

Liability and Warranties

To the maximum extent permitted by law:

  • Our aggregate liability will not exceed 50% of the total amount paid during the 12 months preceding an incident
  • We are not liable for indirect, consequential, or incidental damages
  • We provide no warranties beyond those explicitly stated

Term and Termination

  • You may terminate your subscription with 30 days notice
  • We may terminate or suspend service for terms violations
  • Upon termination:
    • You must cease using our services
    • We will assist with data export
    • Paid fees are non-refundable

Changes to Terms

We may modify these terms with notice:

  • Material changes will be communicated 30 days in advance
  • Continued use after changes constitutes acceptance
  • Current terms are always available on our website

Governing Law

These terms are governed by Wyoming law, without regard to conflict of law principles. Any disputes will be subject to the exclusive jurisdiction of the courts of Wyoming, United States.
